The client's first payment is due in the form of a deposit. Upon receipt of the first payment, the client secures a position on the waiting list and an estimated design start date will be established. Deposit serves as a retainer of services and is non-refundable and non-transferable.

Procedure: Mélange Design Studio will create logos, graphics, and templates that client will receive to proof, revise, and approve. There are no limits to the number of revisions made to logos and templates prior to the final payment. Once client’s revisions and template are finalized, implementation of the design into the website will commence, and an invoice will be issued for work completed, payment due upon receipt. Work will continue until all client-submitted content has been added to the website. Once client-submitted content is added to the site and any administrative variables configured, a final invoice will be issued, payment due upon receipt. If client-submitted content is incomplete and/or if client has a past-due balance, then work will hault until the balance has been paid. Any interruption in service may cause client to loose their place in our schedule. In such a case, a new schedule will be established once all delinquencies have been resolved. Any additional revisions to the site or additional content (pictures and text) shall incur additional charges which are payable on demand of Mélange Design Studio. Upon receipt of all requested information and content, a complete website, including all graphics needed for the complete design of the website, logo, website graphics will be provided to client.

Content, Text and Products: All photography and text must be supplied to Mélange Design Studio before the project will commence. Please send final text and photos – time required to make substantive changes to client-submitted text and photos will be additional cost and billed at the hourly rate specified in client's contract.

Major Website Updates & Edits: Changes requested by the client will be billed at the hourly rates provided in the client's contract. This rate shall also govern additional work authorized beyond the maximums specified above for such services as general Internet orientation education, marketing consulting, web page design, editing, modifying product pages and databases in an online store, and art, photo, and graphics services. If the client or an agent other than Mélange Design Studio attempts updating the client’s pages, time to repair web pages will be assessed at the hourly rate.

Web Hosting: The client understands that any web hosting services require a separate contract with a web hosting company. The client agrees to select a web hosting service which allows Mélange Design Studio full access to the website via client’s FTP server and administrative back-end.

Original Art & Copyrights: Original art remains the sole and exclusive property of Mélange Design Studio until payment in full has been received from the client. Usage rights will be transferred to client conditionally upon receipt of final payment for any and all expenses billed to client. If client fails to make payments in a timely manner, all rights to original art and design revert to Mélange Design Studio and may be removed from the website at the studio’s discretion until final payment has been received.

Credit Line: A credit line suitable to the design of the page will be used and will link to the Mélange Design Studio website. Client agrees to pay an additional fifty percent (50%) of the total site fee, if credit line is removed from the website without written permission from Mélange Design Studio.

Permissions and Releases: The Client agrees to indemnify and hold Mélange Design Studio harmless against any and all claims, costs, and expenses, including attorney’s fees, due to materials included in the work at the request of the client for which no copyright permission or privacy release was requested, or for which uses exceed the uses allowed pursuant to a permission or release. (This would generally apply to work commissioned by client for photography or other art services and is independent from any art/design provided by Melange Design Studio).
